Terms of Service

These Terms of Service (the “Terms”) are a legally binding agreement between you (“you” or “Customer”) and DirectoryLaunch (“we”, “us”, or “our”) governing your access to and use of directory-launch.com (the “Site”) and the products, source code, templates, documentation, and related services we make available (together, the “Services”). By purchasing, accessing, downloading, or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The product

DirectoryLaunch is a Next.js boilerplate for building directories, marketplaces, and catalogs. The Services consist of the source code (the “Code”), configuration files, pre-built components, documentation, updates included with your plan, and any optional done-for-you setup services you separately purchase.

2. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract in your jurisdiction to purchase the Services. If you buy on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. You are responsible for keeping any login credentials confidential and for all activity under your account.

3. License grant

Subject to your payment of the applicable fees and your compliance with these Terms, we grant you a worldwide, non-exclusive, non-transferable, non- sublicensable license to use the Code to build, deploy, and operate end products. The scope of the license depends on the plan you purchased:

  • Starter — one (1) commercial end product.
  • Pro — up to three (3) commercial end products.
  • Team / Custom — unlimited commercial end products within the purchasing organisation.

An “end product” is a single application, website, or deployable project derived from the Code and operated under a single primary domain. Each additional end product requires an additional license.

4. What you may do

  • modify the Code and combine it with your own code;
  • deploy end products for yourself or for a client of yours;
  • charge your end users for access to your end product;
  • receive updates released during the update window included with your plan.

5. What you may not do

  • redistribute, sell, sublicense, lease, rent, or share the Code as source or substantially in the form we delivered it, whether for free or for a fee;
  • create a competing boilerplate, starter kit, template, or course that includes the Code or a substantial portion of it;
  • remove or obscure copyright, license, or attribution notices contained in the Code;
  • share your license key, download links, or private repository access with any third party outside your organisation;
  • use the Services to build anything unlawful, infringing, harassing, or otherwise abusive, including content that violates intellectual-property, privacy, or export-control laws;
  • attempt to bypass technical restrictions, license checks, or security measures.

Any use outside the scope of your license is a material breach of these Terms and automatically terminates your license.

6. Intellectual property

The Code, the Site, the DirectoryLaunch name, logo, documentation, and all related intellectual-property rights are and remain the exclusive property of DirectoryLaunch and its licensors. Except for the license expressly granted in Section 3, no other rights are transferred to you. You retain ownership of any original code and content you add to your end products.

7. Third-party components

The Code includes or depends on open-source libraries and third-party services (such as Next.js, React, Tailwind CSS, Supabase, Polar, Resend, and others). Those components are licensed under their own terms, and your use of them must comply with those terms. We do not grant any rights beyond what those licenses already provide.

8. Orders, pricing, and taxes

Prices are displayed on the Site in U.S. dollars unless otherwise stated. We may change prices at any time, but changes will not affect orders already placed. Applicable taxes (VAT, GST, sales tax) are calculated and collected by our payment processor where required and added to the total at checkout.

9. Payment

Purchases are processed by our payment provider. By submitting an order you authorise the payment provider to charge the total amount to your chosen payment method. Orders are fulfilled once payment has cleared. Digital licenses are considered delivered at the moment your download or repository access is made available.

10. Refund policy

We offer a 14-day money-back guarantee from the date of purchase. To request a refund, email us at hello@directory-launch.com with your order number. Refunds are at our discretion and may be denied if we detect abuse of the refund policy (for example, requesting a refund after substantial use of the Code in a production project). Done-for-you setup services become non-refundable once work has begun.

If you are a consumer in the European Union or the United Kingdom, you acknowledge and expressly agree that delivery of the Code begins immediately upon purchase and that, to the extent permitted by law, you waive your statutory right of withdrawal once download or repository access has been provided.

11. Done-for-you setup

If you purchase a done-for-you setup package, we will configure, brand, and deploy the boilerplate on your behalf according to the scope described at the time of purchase. Delivery timelines are estimates and depend on timely delivery of assets, credentials, and feedback from you. Work is considered accepted if you do not report issues in writing within 7 days of delivery.

12. Updates and support

The duration of included updates and the level of support depend on your plan. Updates are delivered through the channel we used to deliver the original license (for example, a Git repository or a download page). We may change or discontinue parts of the Services at any time, but we will not retroactively remove access to versions you have already downloaded.

13. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE CODE IS FREE OF BUGS OR VULNERABILITIES.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIRECTORYLAUNCH OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.

15. Indemnification

You agree to defend, indemnify, and hold harmless DirectoryLaunch and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your end products and the content you distribute through them; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

16. Termination

These Terms remain in effect until terminated. Your license terminates automatically if you breach any of its conditions. We may suspend or terminate your access to the Services at any time if we reasonably believe you are violating these Terms. Upon termination you must stop using the Code and delete any copies in your possession, except for copies already deployed in end products created in compliance with the license.

Sections that by their nature should survive termination will survive, including license restrictions, intellectual-property rights, disclaimers, limitations of liability, indemnification, and the governing-law and dispute-resolution clauses.

17. Changes to the Services and Terms

We may update the Services and these Terms from time to time. When we update the Terms we will change the “Last updated” date above and, for material changes, give you reasonable notice before they take effect. Your continued use of the Services after an update means you accept the revised Terms. If you do not agree with the changes, you must stop using the Services.

18. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which DirectoryLaunch is established, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the competent courts of that jurisdiction, and you consent to their jurisdiction and venue. Nothing in this section deprives consumers of the protection of mandatory laws of their country of residence.

19. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any order you place, constitute the entire agreement between you and us regarding the Services.
  • Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
